1. Introduction
These terms govern your use of the Sourcery website and the services we provide. By using the site or engaging our services you agree to be bound by them. Sourcery Marketing Ltd is registered in England and Wales, company number 11412924.
2. Services
Sourcery provides marketing operations services, including reporting and analytics, data and enrichment, automation, AI and agent deployment, strategy and go-to-market, email, and tools and integrations. All work is set out in a separate proposal or statement of work (SOW) describing deliverables, timelines and costs.
3. Engagement, quotes and payment
Our prices, quotes, and rates are set out in any quote or services agreement which you will receive prior to performing any services, or as set out in your SOW (project, embedded or advisory). Quotations are valid for 30 days unless stated otherwise. Payment terms are invoiced monthly, net 30 days in arrears. All prices are in GBP and exclusive of VAT. Late payment may incur delays to services being performed, or incur interest under the Late Payment of Commercial Debts Act.
4. Client responsibilities
You agree to provide timely access to the systems, data, accounts and information we reasonably need, and to give feedback within agreed timeframes. We are not liable for delays caused by late access or feedback.
5. Intellectual property
On full payment, you own the final deliverables we create for you. We retain ownership of our pre-existing methods, templates and know-how, and the right to feature the engagement in our portfolio and case studies unless you ask us in writing not to. Third-party assets (fonts, plugins, stock, platform licences) remain subject to their own licence terms.
6. Confidentiality and data
Because our work often involves access to your marketing and CRM systems, each party agrees to keep the other's confidential information confidential and to use it only to deliver the engagement. Where we process personal data on your behalf, we do so as your processor under a data-processing agreement, in line with UK GDPR. Our handling of personal data is described in our Privacy Policy.
7. Limitation of liability
We are not liable for indirect, incidental or consequential losses. Our total liability for any claim is limited to the fees paid for the specific service giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
8. Cancellation and termination
Either party may end an engagement with 30 days' written notice of the end of the contractual term (the “Term”). We may pause or end an engagement if required materials, access or payment are not provided within a reasonable time.
9. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
